How to Establish a Hungarian Subsidiary Abroad

How to Establish a Hungarian Subsidiary Abroad

A Hungarian subsidiary is not just an EU mailing address. It is a separate Hungarian company with its own legal identity, tax obligations, contracts, accounting records, and bank account. For a foreign founder or parent company, the real question behind how to establish a Hungarian subsidiary is whether the structure will stand up to bank checks, tax administration, commercial counterparties, and your longer-term expansion plans.

For most international operators, the practical answer is a Hungarian Kft, the local equivalent of a private limited liability company. It can be owned by a foreign individual or foreign company, can trade across the EU, and can create a credible operating base in Hungary. But incorporation is only the beginning. The quality of the documentation, the ownership trail, the registered office, banking preparation, and Hungarian accounting will determine whether the company is usable rather than merely registered.

What counts as a Hungarian subsidiary?

A subsidiary is a Hungarian company controlled or owned by another company, usually a foreign parent. It is distinct from a branch office. A branch is not a separate legal person and generally leaves the foreign company more directly exposed to local obligations. A Hungarian Kft is a separate entity: it enters into its own agreements, holds its own assets, incurs its own liabilities, and files its own accounts and tax returns.

This distinction matters commercially. A Kft may be the better route where you need local employees, EU-facing contracts, Hungarian invoicing, a corporate bank account in Hungary, or a platform for investment. It is also often easier for counterparties to understand than a foreign company operating informally from abroad.

A subsidiary does not automatically solve every tax question. Where management decisions are made, where people work, what services are supplied, and how the parent and subsidiary charge each other all affect the wider tax analysis. If the Kft will transact with its parent, document those arrangements from the start and obtain tailored advice on transfer pricing and tax residency.

How to establish a Hungarian subsidiary in five stages

1. Confirm the business model and ownership structure

Before company formation in Hungary begins, identify who will own the shares, who will act as managing director, what activities the company will perform, and where its customers, suppliers, and team will be located. These facts shape the company documents, tax registrations, bank onboarding, and compliance workload.

The shareholder may be a foreign company or an individual. If the shareholder is a foreign legal entity, expect to provide current corporate registry documents, constitutional documents, evidence of authorized signatories, and beneficial ownership information. Documents issued abroad may require formalities such as apostille, legalization, or certified translation, depending on their country of origin and the receiving institution’s requirements.

Choose the managing director carefully. A foreign national can generally serve, but the person must be identifiable to the authorities and bank, able to sign necessary documents, and prepared to meet ongoing statutory responsibilities. A nominee-style arrangement that obscures control is not a solution to compliance requirements.

2. Set the Kft capital and prepare the corporate documents

The statutory share capital for a Hungarian Kft is HUF 3,000,000. The capital can be cash, in-kind contributions, or a combination, subject to the rules governing the contribution and the company’s founding documents. Do not treat the capital figure as a fee paid to the government. It is the company’s equity commitment, and the timing and method of contribution must be reflected accurately.

The core documents normally include the articles of association, specimen signature documentation for the managing director, shareholder resolutions where a corporate shareholder is involved, and declarations required for registration. The company must also have a registered office in Hungary.

For overseas founders, a registered office is more than an address on a form. Official correspondence is sent there, and missed notices can create serious consequences. Where the managing director does not have a suitable Hungarian address for official service, a delivery agent may also be required or commercially advisable. The registered office and delivery-agent arrangements should be in place before filing, not improvised afterward.

3. File the company incorporation and tax registrations

A Hungarian attorney prepares and files the company incorporation in Hungary through the applicable electronic process. Once registered, the Kft receives its company registration details and tax identification. The precise sequence, turnaround, and supplementary requests depend on the facts, document quality, and authority processing.

If the subsidiary will make cross-border EU supplies or acquisitions, it may need an EU VAT number. This is a tax registration issue, not a marketing label. The tax authority may examine the company’s activity, leadership, address, and operating substance. A registration request should match a real business plan supported by contracts, forecasts, supplier arrangements, or other credible evidence where appropriate.

Avoid launching sales, issuing invoices, or hiring staff on assumptions about registrations. A business can be registered as a company while still needing specific tax, employment, sectoral, or municipal steps before its planned activity is fully operational.

4. Open the corporate bank account Hungary requires for operations

Corporate bank account Hungary onboarding is often the stage that surprises foreign founders. Company registration does not compel a bank to accept a customer. Banks apply their own anti-money-laundering, sanctions, source-of-funds, ownership, and commercial-risk assessments.

Prepare a coherent banking file: registration documents, shareholder records, passport or ID documents, beneficial owner information, proof of address, business description, expected transaction profile, source-of-funds explanation, and supporting commercial evidence. A parent-owned subsidiary should be able to explain why the Hungarian entity exists, how it will be funded, and how money will move between group entities.

Remote incorporation and remote banking are different questions. It may be possible to organize company setup in Hungary through properly arranged powers of attorney and remote document handling, but a bank may require personal identification or a video identification process. No advisor can guarantee bank approval. Good preparation reduces delays; it does not replace the bank’s independent decision.

5. Build the compliance system before trading starts

A Kft needs Hungarian accounting from the beginning, not when the first annual accounts fall due. The company must maintain books, handle invoicing correctly, file relevant tax returns, and meet payroll and reporting obligations if it employs people. Accounting requirements depend on the activity, VAT status, turnover, number of transactions, and whether the company has international reporting or group-company transactions.

This is where a low-cost incorporation can become expensive. If the company has a vague activity description, inconsistent invoices, undocumented shareholder funding, or no one monitoring official mail, the correction work usually costs more than organized compliance would have cost from day one.

A pre-filing checklist for foreign founders

Before you register a company in Hungary, have these items ready:

  • A clear description of the subsidiary’s actual activity, customers, revenue model, and expected transactions.
  • Shareholder and beneficial owner documents, including the foreign parent’s corporate records if applicable.
  • A decision on the managing director, share capital contribution, registered office, and delivery agent.
  • A realistic plan for the corporate bank account, funding source, and expected payment flows.
  • An accounting plan covering VAT, invoices, payroll, group transactions, and annual reporting.

This preparation also helps identify whether a Kft is the right vehicle. A branch may suit some established foreign companies. A Kft is usually more appropriate where liability separation, local contracting, and a longer-term Hungarian presence matter.

Does a Hungarian subsidiary provide business residence?

No. Company ownership, directorship, property ownership, or company incorporation in Hungary does not by itself grant a residence permit. Business residence requires a separate immigration analysis and an application that meets the relevant legal conditions and evidence requirements.

A genuine Hungarian company can be part of a broader business residence strategy where the entrepreneur will actively manage a real business. Yet immigration authorities assess the residence application independently. They may examine the business plan, resources, accommodation, health coverage, income, and the credibility of the proposed activity. Do not form a company solely on the assumption that it guarantees a right to live in Hungary.

Where property acquisition and investment-based residence planning are involved, sequence matters. The company, property, funding, and immigration documentation should tell one consistent story. Treat each approval as separate, and budget separately for investment or property price, authority fees, and third-party costs.
