Hungarian Legal Representation for Company Formation

Hungarian Legal Representation for Company Formation

A guide to Hungarian legal representation is not about finding someone to sign forms in a language you do not speak. It is about putting a qualified local lawyer between your business and avoidable risk: defective incorporation documents, missed filing obligations, an unusable registered office, bank delays, and immigration assumptions that do not survive official scrutiny.

For foreign founders, Hungary can be a practical EU operating base. A Hungarian Kft can support EU-facing trade, consulting, technology, holding, and service activities. But the structure only works when legal formation, tax registration, banking, accounting, and any business residence plan are coordinated from the start.

What Hungarian legal representation should cover

Legal representation has a specific commercial purpose. Your lawyer should confirm what you are forming, who owns and manages it, how decisions are made, and what must be filed with the Hungarian authorities. The work should not end at the moment the company appears in the register.

For company formation in Hungary, this normally includes preparing the constitutional documents, verifying the company name and corporate details, arranging signatures and powers of attorney where appropriate, filing the registration application, and handling the legal documentation connected with tax and VAT registration. It also means explaining the decisions that foreign owners often underestimate: the business address, the managing director's role, the scope of company activities, and the evidence banks may request before opening a corporate bank account in Hungary.

A lawyer-led process matters because incorporation is not simply administrative. Your constitutional documents establish ownership, representation rights, capital commitments, and the rules that will govern the company after registration. A poorly chosen template can create friction later when you add a shareholder, seek financing, change a director, or need to prove who can bind the company.

Hungarian legal representation also has limits. A lawyer can prepare and file correctly, but cannot guarantee a bank's risk decision, a tax authority's assessment, or approval of a residence application. Those decisions depend on the facts, the evidence supplied, and the relevant authority or institution.

The five decisions to make before you register a company in Hungary

The fastest company setup in Hungary is usually the one that is properly defined before documents are drafted. Foreign founders should settle five points early.

1. Choose the right company and ownership structure

The Hungarian Kft is the usual limited-liability vehicle for international entrepreneurs. It requires statutory share capital of HUF 3,000,000. That capital is separate from the legal service fee and should be treated as a real corporate obligation, not a marketing number. The timing and method of contribution must be reflected properly in the company documents, and the practical consequences depend on the agreed structure.

Decide whether one person will own and manage the company, whether there will be multiple shareholders, and whether a corporate shareholder will sit above the Hungarian entity. Each choice affects documentation, identification requirements, tax planning, and the evidence needed by a bank.

2. Define a real business purpose

A Hungarian company should have activities that match its intended operations. A digital agency, software business, trading company, consultancy, or EU distribution operation may all be viable, but the description should align with contracts, invoices, websites, suppliers, and the expected payment flows.

This is especially relevant for banking and business residence. A company with no clear commercial logic, no credible source of funds, or no explanation for international transactions is more likely to face questions. Legal representation helps create the structure; it does not replace a genuine operating plan.

3. Put the registered office and delivery agent in place

Every Hungarian Kft needs a registered office. This is not merely an address on a website. It is the official location for company records and formal correspondence. Foreign owners who are not locally available may also need a delivery agent so that official communications can be received and handled reliably.

Missing or ignored official mail can become a compliance problem quickly. A proper registered office and delivery-agent arrangement gives an overseas founder a controlled local point of contact, but it must be maintained and renewed after the first service year.

4. Separate remote incorporation from banking

Remote company incorporation and bank onboarding are connected, but they are not the same process. A power of attorney may allow parts of the company incorporation in Hungary to proceed without unnecessary travel, subject to identification and document formalities. A bank may nevertheless require its own identification steps, additional due diligence, or an in-person meeting.

Plan for this distinction from day one. Gather clear passport copies, address evidence, ownership charts where a corporate shareholder is involved, source-of-funds information, and a concise explanation of the expected business activity. Do not make commercial commitments that depend on immediate banking until the bank's requirements are understood.

5. Build Hungarian accounting into the launch plan

Legal registration is the beginning of compliance, not the end. Hungarian accounting, tax filings, payroll where applicable, invoicing practices, and annual reporting must be managed on an ongoing basis. The accountant needs accurate and timely records, while the lawyer handles the legal events that change the company structure or representation.

For many foreign-owned companies, ongoing accounting normally ranges from €200 to €250 plus VAT per month, depending on activity and transaction volume. The exact work should be agreed before trading begins, particularly if your company will have cross-border sales, staff, VAT obligations, or frequent transactions.

A practical checklist for your legal representative

Before instructing counsel, prepare the information that makes the process faster and more defensible:

  • Proposed company name and a clear description of the business activity.
  • Shareholder and managing-director details, including passport and residential address evidence.
  • Ownership-chain documents if another company will own the Hungarian Kft.
  • The intended registered office and whether delivery-agent support is required.
  • Expected customers, countries, currencies, transaction volumes, and source of startup funds.
  • Whether you need EU VAT registration, a corporate bank account in Hungary, or support with business residence.

A good legal representative will use this information to identify dependencies before filing. For example, a company with a non-EU owner, an overseas corporate shareholder, an EU VAT requirement, and a future residence application needs more coordination than a simple single-owner consulting business.

When legal representation and business residence overlap

A Hungarian company can support a broader commercial plan, but company ownership or property ownership alone does not grant a right to reside in Hungary. Residence permits are separate legal processes with their own eligibility criteria, documentation, and authority review.

This distinction protects founders from a costly misconception. Forming a Kft may demonstrate that you are building an economic presence, but it is not a substitute for a valid immigration basis. The business, the applicant's role, financial evidence, accommodation arrangements, and other statutory conditions must be assessed for the relevant route.

For entrepreneurs considering an investment-based residence route, sequencing matters. Company formation, property acquisition, funds, legal paperwork, and immigration filing need to be coordinated without treating any approval as automatic. Route availability and requirements should be checked at the time of engagement and again before submission, because immigration rules and administrative practice can change.

What a clear fee proposal should tell you

Foreign founders should be wary of vague formation quotes that exclude the services required to make the company usable. Ask whether the fee includes corporate documents, registration filing, tax and EU VAT registration support, the registered office, delivery-agent service, and assistance with the business bank account.

At Arendas Law Office, the company setup package is €1,490 plus VAT. It includes preparation and filing of corporate and legal documents, company registration, EU VAT registration, the first year of registered-address and delivery-agent services, and assistance with opening the company's business bank account. The statutory HUF 3,000,000 share capital remains a separate company obligation.

From the second year, registered-address service is €250 per year and delivery-agent service is €300 per year. These recurring services should be included in your operating budget alongside Hungarian accounting and tax compliance. A low initial quote can become expensive if it leaves out the infrastructure needed to keep the company in good standing.

Common questions about Hungarian legal representation

Can I form a Hungarian company without traveling?

Often, parts of the process can be handled remotely through properly prepared documentation and powers of attorney. However, identification rules differ between incorporation and banking. A bank may require further verification or personal attendance, and no responsible adviser should promise otherwise before the facts are reviewed.

Does EU VAT registration mean I can trade anywhere without further tax analysis?

No. EU VAT registration can be essential for cross-border operations, but the VAT treatment of a transaction depends on what you sell, where customers are located, whether they are businesses or consumers, and how goods or services are supplied. Obtain accounting advice before you invoice at scale.

Is a delivery agent necessary?

It depends on the company's circumstances and the availability of its representatives. For a foreign founder without a dependable local presence, a delivery agent can be a practical safeguard against missed official communications.
