A European company can give an international founder a credible operating base, an EU VAT position where applicable, and a structure built for cross-border trade. But EU company formation is not a single application or a residence shortcut. The result depends on choosing the right jurisdiction, setting up the company correctly, opening workable banking arrangements, and maintaining the records that Hungarian authorities, banks, and commercial partners expect.
For many foreign entrepreneurs, a Hungarian Kft offers a practical route to establish an EU business. It can suit consulting firms, digital businesses, trading companies, service providers, and founders building a European presence. The opportunity is real, but so are the dependencies: proper identification, a compliant registered office, reliable Hungarian accounting, and a business plan that matches the company’s actual activity.

Why Hungary belongs in an EU company formation decision
A Hungarian Kft is a limited liability company and the most common vehicle for company formation in Hungary. It is familiar to banks, suppliers, accountants, and business counterparties. A properly incorporated Kft can contract, invoice, employ staff, hold assets, and operate across borders, subject to the tax, regulatory, and commercial rules that apply to its activity.
The statutory share capital for a Hungarian Kft is HUF 3,000,000. That figure is not the same as the full cost of launching or operating a business. Founders should budget separately for professional formation work, banking, accounting, tax compliance, address services, and the real operating costs of the company. The share capital rules and timing of contribution should be addressed in the incorporation documents, rather than treated as an afterthought.
Hungary is not automatically the right answer for every founder. If management, staff, customers, inventory, or regulated activity will be centered elsewhere, the corporate and tax analysis may point in another direction. A company’s registered jurisdiction does not erase tax obligations created by where it is genuinely managed or operates. The strongest structure is one that reflects commercial reality, not one selected solely for a headline tax rate.
What company setup in Hungary should include
A formation package should do more than produce a registration number. Foreign founders need a coordinated process that addresses the legal entity, local representation requirements, VAT position, and post-registration administration.
For a standard company incorporation in Hungary, the core work normally includes preparing the constitutional and corporate documents, completing identification and due-diligence requirements, filing the registration, arranging the registered office and delivery-agent services where required, and supporting the initial banking process. The activity codes, ownership structure, directors, signing rules, and corporate purpose must be selected carefully because they affect later banking, accounting, and licensing questions.
EU VAT registration may be part of the formation process, but a VAT number should never be treated as a guarantee that every transaction is VAT-free or that a company can use every EU VAT treatment. The applicable treatment depends on the customer, place of supply, evidence, invoicing, and the nature of the service or goods. A company that sells digital services, trades goods, or invoices group companies needs accounting advice before it starts issuing invoices.
Registered office and delivery agent are operational safeguards
A registered office is the company’s official Hungarian address for corporate records and official correspondence. It is not merely a mailbox. Missed authority notices can create expensive problems, especially for an owner managing the business from the United States or another non-Hungarian market.
A delivery agent serves a related but distinct purpose for foreign company representatives where Hungarian rules require one. The service helps ensure that official communications can be received and handled locally. These services are part of the legal infrastructure that lets a cross-border owner remain in control without pretending that distance removes compliance duties.
The five decisions to make before you register a company in Hungary
The best time to solve uncertainty is before the filing. A focused pre-incorporation review usually prevents much more costly corrections after the company appears in the register.
First, identify the real business model. Explain what the company will sell, where customers are located, who will perform the work, how money will move, and whether the activity needs a permit. Vague descriptions may slow down banking and create accounting risk.
Second, confirm ownership and management. Beneficial owners and directors must be transparent, with identity documents and supporting information that meet the applicable due-diligence standard. Complex holding structures, sanctioned-country connections, politically exposed persons, or unclear source-of-funds evidence can require additional review.
Third, decide how the company will be funded. Share capital, shareholder loans, trading income, and third-party financing each need to be documented appropriately. A company should not begin moving money informally simply because the founder controls it.
Fourth, plan the corporate bank account in Hungary realistically. Bank onboarding is a separate commercial and compliance decision made by the bank. A lawyer or formation provider can organize the company documentation and assist with the application, but cannot promise approval. Remote incorporation and remote banking also have different identification requirements. Some banks may require personal attendance, video identification, original documents, or further source-of-funds information.
Fifth, appoint Hungarian accounting support before trading begins. Hungarian accounting is ongoing compliance, not an annual cleanup exercise. It commonly covers bookkeeping, tax filings, payroll where relevant, financial statements, and the records that support VAT reporting. The right accountant should understand the company’s actual transactions, not just enter invoices after the fact.
Costs that foreign founders should budget for
A clear budget reduces the risk of confusing a low entry price with a low-cost operating structure. For lawyer-led company setup in Hungary, the total setup fee is €1,490 plus VAT. It includes preparation and filing of corporate and legal documents, company registration, EU VAT registration, the first year of registered-address and delivery-agent services, and assistance with opening the company’s business bank account.
From the second year, registered-address service is €250 per year and delivery-agent service is €300 per year. Ongoing accounting normally ranges from €200 to €250 plus VAT per month, depending on the company’s activity and transaction volume. Authority fees, bank charges, translations, legalization, licenses, and third-party expenses may arise separately. Exact scope, VAT treatment, and pricing should always be confirmed in the engagement letter and against the client’s circumstances.
This is where a cheap incorporation can become costly. A founder may save on documents at the start, then discover that no one is monitoring correspondence, the accounting provider does not understand international transactions, or the bank asks questions that the original setup did not anticipate.
Company formation is not business residence
Foreign entrepreneurs often combine corporate plans with a wish to spend more time in Hungary or build a European base for their family. This requires precision. Company ownership, company incorporation in Hungary, and property ownership do not by themselves grant a Hungarian residence permit or a right to live in the EU.
Business residence applications are assessed under their own legal requirements. The applicant may need to show a genuine business purpose, sufficient funds, accommodation, insurance, and other evidence required for the relevant route. Corporate documents can support an application, but they are not a substitute for immigration eligibility. Authority approval is never guaranteed.
Residence-permit legal services start from €2,490 plus VAT. For founders pursuing the Investment Residence Permit via Investment route, the coordinated company-formation, property-acquisition, and residence-permit package is €8,990 plus VAT. The investment or property purchase price, authority fees, and third-party costs are separate unless an engagement expressly states otherwise.
Questions founders ask before EU company formation
Can I form a Hungarian company remotely?
Often, substantial parts of the legal process can be organized remotely when identity, signature, and document requirements are met. The exact process depends on the founder’s nationality, document format, ownership structure, and the form of authorization used. Banking may involve a different process and may require additional identification or attendance.
How long will it take?
There is no responsible universal timeline. Registration speed depends on complete documents, correct information, signing logistics, official processing, VAT matters, and bank compliance review. A well-prepared file moves more predictably than a rushed one with unresolved ownership or funding questions.
Do I need to live in Hungary to own a Kft?
Ownership and residence are separate questions. A foreign person may be able to own a Hungarian company, but management, tax, immigration, and banking consequences should be reviewed for the individual case. Do not assume that ownership creates immigration rights.
What happens after registration?
The company needs active administration: bank setup, invoicing controls, accounting onboarding, tax filings, renewal of address and delivery-agent services, and attention to official communications. Incorporation is the beginning of the compliance cycle, not the end.
